Company registration in Nepal: steps, documents and costनेपालमा कम्पनी दर्ता: प्रक्रिया, कागजात र खर्च

Most businesses in Nepal register as a private limited company with the Office of the Company Registrar (OCR). The whole process runs online on CAMIS, with one visit for identity verification.

1. Choose and check the name

Pick three names, each in English and Nepali. OCR refuses a name that is the same as, or confusingly similar to, an existing company or a registered trademark (Section 6). Avoid words that suggest a regulated business you are not licensed for, such as bank or insurance.

2. Decide the shareholders and capital

A private company can have one shareholder or more. Authorised capital is the ceiling written in the MoA, and it sets OCR's fee. Paid-up capital is what shareholders actually put in. Most private companies have no fixed minimum, but some licences and all foreign investment do.

3. Prepare the documents

• Application to OCR (Schedule 1 or 2)
• Memorandum of Association: Schedule 9 for one shareholder, Schedule 10 for two or more
• Articles of Association: OCR's model Articles or your own
• Citizenship certificates and photos of every shareholder
• Office address and the landlord's consent

4. File on CAMIS and verify identity

The application and documents are uploaded on CAMIS and the fee is paid. One shareholder verifies identity at OCR. OCR then issues the registration certificate.

5. What it costs

OCR's fee depends on authorised capital: Rs 1,000 up to Rs 1 lakh, Rs 4,500 up to Rs 5 lakh, Rs 9,500 up to Rs 25 lakh and Rs 16,000 up to Rs 1 crore. Our fee is on the registration page.

6. After registration

PAN comes next, then VAT and ward registration where needed. Within 3 months the company files its office address, directors' details, first auditor and share allotment. Every year after that it holds an AGM and files the annual return by Poush end.
