How it goes

  1. Name check

We search the OCR register and reserve the best of your three names.

  2. Documents

We draft the MoA, Articles and application, using one set of your details.

  3. You sign

We mark every place to sign. One shareholder verifies identity at OCR.

  4. Filing

We file on CAMIS, answer OCR's questions and pay the government fee from your deposit.

  5. Certificate and PAN

You get the registration certificate, PAN and a list of what is due in the first 90 days.

Government fees

OCR charges a registration fee by authorised capital: Rs 1,000 up to Rs 1 lakh, Rs 4,500 up to Rs 5 lakh, Rs 9,500 up to Rs 25 lakh, Rs 16,000 up to Rs 1 crore, and more above that. Use the calculator for your figure.

Questions

Can one person own the whole company?

Yes. A private company can have a single shareholder. It files a one-person MoA (Schedule 9) and can use OCR's model Articles.

Is there a minimum capital?

The Companies Act sets no fixed minimum for most private companies. Some licences and foreign investment do, so tell us what the company will do and we check yours before choosing the figure.

Authorised or paid-up capital: what is the difference?

Authorised capital is the ceiling the MoA allows; it sets OCR's fee. Paid-up capital is what shareholders have actually put in. Many owners start with a modest authorised figure and raise it later.

Do I have to visit OCR?

One shareholder verifies identity once. We arrange the time and tell you what to bring. Everything else is online.
